Welcome to Bridge AI OS. These Terms of Service ("Terms") govern your access to and use of Bridge AI Technologies, Inc.'s ("Bridge AI," "we," "us," or "our") services, including our website, applications, and platform (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Account Terms

1.1 Account Creation

To access certain features of the Services, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and accept all risks of unauthorized access
• Not share your account credentials with others
• Promptly notify us if you discover any unauthorized use of your account

1.2 Account Responsibilities

You are responsible for all activities that occur under your account. You must not:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to any portion of the Services

2. Subscription and Payment Terms

2.1 Subscriptions

Bridge AI OS offers subscription-based access to our Services. By subscribing, you agree to:

• Pay the applicable subscription fees
• Provide accurate billing information
• Authorize us to charge your payment method for recurring fees

2.2 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

2.3 Price Changes

We may change subscription prices at any time. We will provide at least 30 days' notice before any price increase takes effect. Your continued use after the effective date constitutes acceptance of the new price.

2.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

3. Acceptable Use Policy

3.1 Permitted Use

You may use the Services only for lawful business purposes in accordance with these Terms. You agree to use the Services in a manner that does not:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Interfere with or disrupt the Services or servers
• Attempt to reverse engineer or derive source code from the Services
• Use automated systems to access the Services without authorization

3.2 Content Restrictions

You may not upload, store, or transmit content that:

• Is illegal, harmful, or offensive
• Infringes on intellectual property rights
• Contains malware or other harmful code
• Violates privacy rights
• Constitutes spam or unsolicited communications

4. Intellectual Property

4.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Bridge AI and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the Services
• Use our trademarks without prior written consent
• Create derivative works based on the Services

4.2 Your Content

You retain ownership of content you upload to the Services. By uploading content, you grant Bridge AI a limited, non-exclusive license to use, process, and store your content solely to provide the Services.

4.3 Feedback

If you provide feedback or suggestions about the Services, we may use that feedback without any obligation to you.

5. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

In particular, you understand and agree that: (a) prompts and responses sent through AI chat interfaces may be logged and retained for billing, quality assurance, security, and abuse prevention; and (b) certain transactional and notification emails are sent via third-party providers (such as Resend, Mailgun, or similar services) in accordance with their terms and privacy policies.

6. Third-Party Services

The Services may integrate with third-party services (e.g., email providers, CRMs, payment processors). Your use of these integrations is subject to the terms and privacy policies of those third parties. Bridge AI is not responsible for third-party services.

7. Service Level and Availability

7.1 Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may experience scheduled maintenance, updates, or unexpected outages.

7.2 Modifications to Services

We may modify, suspend, or discontinue any feature of the Services at any time. We will provide reasonable notice of any material changes that adversely affect your use.

8. Disclaimers

8.1 As-Is Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Results

We do not guarantee that the Services will meet your requirements, be error-free, or produce any specific results. AI-generated content may not always be accurate or appropriate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Bridge AI, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Services

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Services.

11.2 Termination by You

You may terminate your account at any time by following the instructions in your account settings or contacting support.

11.3 Termination by Us

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately.

11.4 Effect of Termination

Upon termination:

• Your access to the Services will be revoked
• We may delete your account and data
• Provisions that by their nature should survive will remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association. The arbitration shall take place in San Francisco, California.

12.3 Class Action Waiver

You agree not to participate in class actions, class arbitrations, or representative actions against Bridge AI.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bridge AI regarding the Services.

13.2 Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by email. Your continued use after the effective date constitutes acceptance.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

13.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
